Terms of Service

Please read these Terms of Service ("Terms") carefully before using the On The Rox platform. By creating an account or using any part of the Platform, you agree to be bound by these Terms.

1. The Platform

On The Rox (Pty) Ltd ("On The Rox", "we", "us") operates an AI-powered fitness and coach marketplace platform available at ontherox.app and associated applications (the "Platform"). The Platform includes:

• AI coaching tools and daily check-in features
• A Rep-based engagement and rewards economy
• A marketplace for fitness packages, events, and digital products
• Coach profiles, portals, and client management tools
• Leaderboards and community features
• White-label storefronts for gyms and studios

2. Eligibility

You must be at least 16 years old to use the Platform. By using the Platform, you represent that you meet this requirement. If you are under 18, you confirm that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. Account Registration

You must create an account to access most Platform features. You agree to:

• Provide accurate, current, and complete registration information
• Keep your password confidential and not share it with others
• Notify us immediately of any unauthorised access to your account
• Be responsible for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. The Rep Economy

Reps are the Platform's engagement currency. They are earned through activity and consumed when using premium features (AI Coach messages, daily check-ins, coach interactions).

• Reps have no monetary value and cannot be exchanged for cash
• Rep balances, earning rates, and costs are set by platform administrators and may change with notice
• Unused Reps do not carry over indefinitely — see your plan terms for expiry rules
• We reserve the right to adjust Rep balances to correct errors or prevent abuse

5. Subscription Plans

On The Rox offers free trial and paid subscription plans. By subscribing to a paid plan:

• You authorise us to charge your payment method on a recurring basis
• Subscriptions auto-renew unless cancelled before the renewal date
• Plan pricing is displayed at checkout and may change with 30 days' notice
• Downgrading or cancelling takes effect at the end of the current billing period

6. Marketplace

Buyers

When you purchase a product or package through the Marketplace, you enter into a contract with the seller (coach or studio), not with On The Rox. We facilitate the transaction but are not a party to it. Disputes about product quality or delivery should be raised with the seller first; if unresolved, contact us at [email protected].

Sellers

By listing products on the Marketplace, you agree to:

• Provide accurate descriptions and deliver what you advertise
• Comply with all applicable laws, including consumer protection and tax obligations
• Not list illegal, harmful, or misleading products
• Accept that On The Rox may remove listings that violate these Terms

On The Rox charges a platform commission on Marketplace sales. Current commission rates are displayed in the Coach Portal.

7. AI Coach

The AI Coach feature provides general fitness and wellness guidance. You acknowledge that:

• AI Coach responses are not medical advice and do not replace professional medical or clinical guidance
• You should consult a qualified healthcare professional before starting any new exercise or nutrition programme
• AI responses may be inaccurate — always apply your own judgement
• Conversations are stored to provide context continuity and improve the service (see our Privacy Policy)

8. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Harass, abuse, or harm other users or coaches
• Post false, misleading, or defamatory content
• Attempt to gain unauthorised access to any part of the Platform
• Scrape, reverse-engineer, or copy Platform content without permission
• Manipulate leaderboards, Rep balances, or review systems
• Create multiple accounts to circumvent restrictions or bans

Violations may result in immediate account suspension or termination without refund.

9. Intellectual Property

All Platform content, branding, software, and design is owned by On The Rox (Pty) Ltd or its licensors. You may not reproduce, distribute, or create derivative works without our written permission.

You retain ownership of content you create (check-ins, reviews, listings). By submitting content to the Platform, you grant us a non-exclusive, royalty-free licence to use, display, and distribute that content in connection with operating the Platform.

10. Disclaimers

The Platform is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and uninterrupted availability. We do not guarantee that the Platform will be error-free or that AI Coach responses will be accurate.

11. Limitation of Liability

To the fullest extent permitted by applicable law, On The Rox (Pty) Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability for any claim shall not exceed the amount you paid us in the 3 months preceding the claim.

12. Termination

You may delete your account at any time from your account settings. We may suspend or terminate your account if you breach these Terms, with or without notice depending on the severity of the breach.

Upon termination, your right to use the Platform ceases immediately. Sections 9, 10, 11, and 13 survive termination.

13. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Africa, without prejudice to your rights as a consumer under applicable local law.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or prominent notice on the Platform at least 14 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.
